CO2 Energy Transition Corp., a Delaware corporation, is a blank check company incorporated on September 30, 2021. Although we may pursue a business combination in any industry, our objective is to identify and consummate a business combination with a business in the carbon capture, utilization and storage industry. We believe that the deal generation, sector expertise, execution and operational capabilities of our management team, which is led by our Chairman and Chief Executive Officer, E. Will Gray II and our President and Chief Operating Officer, Brady Rodgers. Consistent with our strategy, we have identified the following attributes and guidelines to evaluate potential business combination targets. We may decide, however, to enter into our initial business combination with one or more businesses that do not meet these criteria and guidelines if we believe such business presents a compelling investment opportunity. We intend to pursue an initial business combination with companies that have the following characteristics: excellent fit in carbon capture/transition strategy; $150-250 million in enterprise value; sound environmental and regulatory performance criteria; significant growth potential; and strong management team with energy transition experience.
